Terms of Service

1. Introduction and acceptance

These Terms of Service (the "Terms") govern your use of CodeMeYo (the "Service"), including the desktop apps (Windows, macOS, Linux), the mobile apps (iOS, Android), the website at codemeyo.com, and any related services operated by Jag Journey, LLC ("we", "us", "our"), a United States limited liability company based in King County, Washington.

By downloading, installing, creating an account, subscribing, donating, or otherwise using CodeMeYo, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. Account requirements

• You must be at least 13 years old to use CodeMeYo. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.
• You agree to provide accurate information when creating an account and to keep it current.
• Accounts are for one person. Sharing credentials with other individuals is prohibited. Team plans, when available, let multiple people use the Service under a single billing account.
• You are responsible for keeping your password and two-factor authentication device secure, and for all activity that happens under your account. Notify us immediately at codemeyo.com/contact if you suspect unauthorized access.
• You can use the Free tier without an account, but you will not receive auto-updates, telemetry-based billing accuracy, or cloud-backed account recovery without one.

3. The Service

CodeMeYo is a multi-LLM autonomous coding agent. It connects to third-party large-language-model providers (Anthropic, OpenAI, xAI, Google, DeepSeek, Mistral, Groq, and local Ollama) using API keys or OAuth sessions that you provide, and it runs on your device. Features depend on your platform and subscription tier and may change over time.

4. Subscription terms

• Plans. CodeMeYo offers a Free tier plus paid tiers ("Pro" and, where available, "Team"). Prices, billing cadences, and included features are shown at checkout.
• Pricing. As of the effective date of these Terms: Pro is $9/month or $89/year when purchased via Stripe on the web, and $12.99/month or $119/year when purchased via Apple In-App Purchase or Google Play Billing on mobile. Mobile pricing reflects platform commission. Prices are in United States dollars unless a local currency is shown at checkout.
• Taxes. Where required by law, we collect sales tax, VAT, or GST at checkout through Stripe Tax or the relevant app store.
• Auto-renewal. Paid subscriptions renew automatically at the end of each billing period (monthly or annually) at the then-current price, unless you cancel.
• Cancellation. You can cancel any Stripe-based subscription at any time from /dashboard/billing or the Account tab in the app. Cancellation takes effect at the end of the current period; you retain paid access until then. For Apple IAP or Google Play subscriptions, you must cancel through the platform's subscription settings; Apple and Google do not let us cancel on your behalf.
• Price changes. We will notify you at least 30 days before any price change affecting your active subscription. If you do not accept the new price, your subscription will end at the close of your current period.
• Trials and credits. Any free trial, credit, or promotional offer is subject to its specific terms; unused portions expire when the trial or promotional period ends.

5. Refund policy

• Web (Stripe). Pro subscriptions purchased on codemeyo.com are eligible for a 7-day money-back guarantee. Email codemeyo.com/contact within seven days of the initial charge and we will refund it, no questions asked. Refunds after seven days are handled case-by-case.
• Apple App Store. Apple processes refunds for iOS in-app purchases under its own policy. Request a refund at reportaproblem.apple.com. We do not issue refunds for iOS purchases.
• Google Play. Google processes refunds for Google Play purchases under its own policy. For purchases within 48 hours, you can self-serve a refund at Google Play refund help. After that window, Google decides on a case-by-case basis.
• Donations. Donations through codemeyo.com are non-refundable unless the transaction was fraudulent or unauthorized.
• Statutory rights. Nothing in this section limits refund or withdrawal rights you may have under applicable consumer protection law (for example, EU / UK 14-day withdrawal rights on distance contracts).

6. Acceptable use

You agree not to use CodeMeYo to:

• Develop, distribute, or deploy malware, ransomware, spyware, or other malicious code.
• Infringe the intellectual property, privacy, or other rights of any third party.
• Harass, threaten, defame, dox, or target any individual or group.
• Generate or distribute content that depicts child sexual abuse material (CSAM), non-consensual sexual content, or material prohibited by applicable law.
• Circumvent rate limits, abuse API endpoints, or attempt to gain unauthorized access to the Service, our infrastructure, or another user's account.
• Share or resell your account or credentials, or operate multiple accounts to evade limits or bans.
• Reverse-engineer, decompile, or disassemble the Service, or attempt to extract source code, except to the extent permitted by applicable law (in which case, please notify us first so we can discuss lawful alternatives).
• Use the Service in any way that violates applicable law or the terms of any integrated third-party provider.

We may rate-limit, suspend, or terminate accounts that violate this section, immediately for severe violations and with reasonable notice otherwise.

7. Your content

You retain all right, title, and interest in the code, prompts, files, and other content you create, upload, or generate while using CodeMeYo. We claim no ownership over your content and grant ourselves no license to it. Your prompts and the LLM's responses stay on your device, except for the opt-in telemetry described in the Privacy Policy, which is limited to provider name, model name, token counts, cost, and timestamp.

8. Third-party LLM providers

CodeMeYo connects to third-party LLM providers based on your configuration - Anthropic (Claude), OpenAI (GPT), xAI (Grok), Google (Gemini), DeepSeek, Mistral, Groq, and local Ollama. Your use of each provider is governed by that provider's own terms of service and privacy policy. You are responsible for:

• Obtaining and paying for your own API keys and managing API usage costs.
• Complying with each provider's usage policies.
• Evaluating the quality, accuracy, and legality of outputs generated by third-party models.

We are not responsible for provider pricing, outages, model behavior, content moderation decisions, or changes to provider APIs or terms.

9. Intellectual property

The CodeMeYo source code is released in parts - portions of the project are published on GitHub under their stated licenses, and the remainder is proprietary to Jag Journey, LLC. "CodeMeYo", "Jag Journey", and the associated logos are trademarks of Jag Journey, LLC. These Terms do not grant you any rights to our trademarks, logos, or trade dress.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OUTPUT FROM AN LLM WILL BE ACCURATE, UNBIASED, RELIABLE, OR SAFE.

You understand that large language models can and do produce incorrect, biased, misleading, or harmful content. You are responsible for reviewing any code, text, or action proposed by the agent before you run it, commit it, or rely on it.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• JAG JOURNEY, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE WERE ADVISED OF THE POSSIBILITY.
• OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (a) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (b) ONE HUNDRED UNITED STATES DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the smallest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Jag Journey, LLC and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service, (b) your content or actions taken by the agent at your direction, (c) your violation of these Terms, or (d) your violation of the rights of any third party.

13. Termination

• By you. You may stop using the Service at any time. You may delete your account at /dashboard/profile or via the authenticated API endpoint DELETE /api/v1/me. Deletion triggers the retention schedule described in the Privacy Policy.
• By us. We may suspend or terminate your account for violation of these Terms, with at least 7 days' notice when feasible, or immediately for severe violations (fraud, abuse, threats to our infrastructure or other users, or legal obligation).
• Effect. On termination, your access to the paid Service ends, paid but unused subscription periods are refunded only as described in section 5, and your data is purged according to the retention schedule in the Privacy Policy. Sections that by their nature should survive termination will survive, including sections 7 (Your content), 9 (Intellectual property), 10-12 (Warranties, liability, indemnification), 13 (Termination), 14-16 (Governing law, dispute resolution, general).

14. Governing law

These Terms are governed by the laws of the State of Washington, United States of America, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15. Dispute resolution

• Informal resolution. Before filing any formal claim, you agree to contact us at codemeyo.com/contact and attempt in good faith to resolve the dispute for at least 30 days.
• Binding arbitration. If the dispute is not resolved informally, you and we agree that it will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, seated in King County, Washington. The arbitrator's decision will be final and enforceable in any court of competent jurisdiction.
• Small claims exception. Either party may bring an individual action in small claims court if the claim qualifies.
• Class-action waiver. You and we each waive the right to participate in a class action, class arbitration, representative action, or consolidated proceeding against the other. This waiver does not apply where prohibited by law.
• Exclusive jurisdiction. For matters not subject to arbitration, the parties submit to the exclusive jurisdiction of the state and federal courts located in King County, Washington.
• Opt-out of arbitration. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing us with the subject line "Arbitration Opt-Out". If you opt out, disputes will be resolved exclusively in King County courts.

16. Changes to these Terms

We may update these Terms from time to time. For material changes we will notify signed-in users by in-app notification and email at least 14 days before the change takes effect. Continued use of the Service after the effective date means you accept the updated Terms. If you do not accept the changes, you must stop using the Service and may cancel any active subscription for a prorated refund of the unused portion.

17. General

• Entire agreement. These Terms, together with the Privacy Policy and any in-app disclosures, are the entire agreement between you and us regarding the Service.
• Severability. If any provision is held unenforceable, the remaining provisions remain in full effect.
• No waiver. Our failure to enforce any right is not a waiver of that right.
• Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
• Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control (natural disaster, war, strike, internet outage, infrastructure provider failure, governmental action).
